These Terms and Conditions (“Agreement”) govern all access to and use of the website located at
https://simplychems.us (the “Website”), including any purchases made from
SimplyChems LLC (“SimplyChems,” “Company,” “we,” “us,” or “our”).
By accessing the Website, creating an account, checking the required acceptance box at checkout,
or placing an order, you (“Buyer,” “Customer,” or “you”) agree to be legally bound by this Agreement,
the Privacy Policy, the Shipping, Delivery & Returns/Refund Policy, the Research Use Acknowledgment
& Informed Consent Agreement, and any other policies or notices expressly incorporated by reference.
Texas privacy law requires a clear notice of rights and request procedures, and FTC guidance continues
to emphasize clear and conspicuous online disclosures and assent mechanics.

1. Definitions
“MATERIAL” means any product, item, or substance sold, offered, or provided by
SimplyChems, including but not limited to peptides, proteins, powders, liquids, chemicals,
laboratory materials, and related supplies.
“Website” means simplychems.us and all related subpages, account areas,
checkout pages, policies, communications, and functionality made available by SimplyChems.
2. Research Use Only — No Human or Animal Use
All MATERIAL is sold strictly for lawful laboratory, analytical, and scientific research purposes only.
MATERIAL is NOT for:
- Human consumption or use
- Animal consumption or use
- Clinical, therapeutic, diagnostic, or veterinary use
- Bodybuilding, performance enhancement, supplementation, or cosmetic use
- Ingestion, injection, inhalation, topical application, or administration to any living organism
- Any testing, study, or experiment involving administration to a human or animal
Buyer represents, warrants, and agrees that MATERIAL will not be used in or on humans or animals
under any circumstances and will only be used for lawful research purposes.
3. Regulatory Disclosures
Statements on the Website have not been evaluated by the U.S. Food and Drug Administration.
MATERIAL is not intended to diagnose, treat, cure, or prevent any disease.
SimplyChems is a chemical supplier and is not:
- A compounding pharmacy under Section 503A of the Federal Food, Drug, and Cosmetic Act
- An outsourcing facility under Section 503B of the Federal Food, Drug, and Cosmetic Act
Nothing on the Website, in any product description, or in any communication from SimplyChems constitutes
medical, therapeutic, diagnostic, veterinary, supplementation, cosmetic, scientific, or legal advice.
4. Eligibility; Buyer Qualifications; Right to Refuse Service
Buyer represents, warrants, and certifies that:
- Buyer is at least 21 years of age
- Buyer is legally permitted to purchase, receive, possess, and use MATERIAL in Buyer’s jurisdiction
- Buyer is a qualified person, institution, researcher, or is acting under appropriate qualified supervision
- Buyer understands proper handling, storage, disposal, and laboratory safety requirements
- Buyer will comply with all applicable laws, regulations, rules, and restrictions
SimplyChems reserves the right, at its sole discretion, to refuse service, cancel orders, limit quantities,
suspend or terminate accounts, request verification or documentation, restrict shipment destinations,
or decline any transaction for fraud prevention, compliance, risk management, inventory, operational,
or legal reasons.
5. Orders; Acceptance; Availability
All orders are subject to review and acceptance by SimplyChems.
Submission of an order does not guarantee acceptance. SimplyChems may reject, limit, or cancel any order
before shipment for any lawful reason, including suspected fraud, pricing error, inventory issues,
compliance concerns, risk screening results, or suspected violation of these Terms.
A transaction is deemed accepted only when SimplyChems processes the order for fulfillment or ships the order,
whichever occurs first.
SimplyChems does not guarantee product availability, uninterrupted Website access, or that any listing
will remain available for any particular period of time.
6. Assumption of Risk
Buyer acknowledges that MATERIAL may present known or unknown hazards.
Buyer represents and warrants that Buyer is knowledgeable regarding:
- The health, safety, and handling risks associated with MATERIAL
- Appropriate industrial hygiene, containment, and laboratory control practices
- Proper storage, transport, labeling, and disposal requirements
- Applicable laws and regulations governing possession, handling, use, and disposal
Buyer assumes full responsibility for all risks arising from the purchase, receipt, possession, storage,
handling, transport, use, misuse, transfer, and disposal of MATERIAL.
7. No Warranties — AS IS
ALL MATERIAL AND WEBSITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE FULLEST EXTENT PERMITTED BY LAW, SIMPLYCHEMS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED,
STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY, COMPLETENESS, OR RELIABILITY OF INFORMATION OR RESULTS
- PRODUCT IDENTITY, PURITY, POTENCY, STABILITY, SHELF LIFE, PERFORMANCE, OR SUITABILITY FOR ANY PARTICULAR APPLICATION
- UNINTERRUPTED OR ERROR-FREE WEBSITE OPERATION
Buyer assumes all risk regarding use of MATERIAL and reliance on Website content.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW:

LOSS OF RESEARCH, RESEARCH FAILURE, BUSINESS INTERRUPTION, OR DAMAGE ARISING OUT OF OR RELATING TO
MATERIAL, WEBSITE USE, OR ANY TRANSACTION

SIMPLYCHEMS’ TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO ANY MATERIAL, ORDER, OR
TRANSACTION SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY BUYER FOR THE SPECIFIC MATERIAL GIVING RISE
TO THE CLAIM
Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply
to the extent prohibited by law.
9. Indemnification
Buyer agrees to indemnify, defend, and hold harmless SimplyChems and its owners, officers, managers,
employees, contractors, agents, suppliers, successors, and affiliates from and against any and all claims,
demands, actions, proceedings, liabilities, damages, losses, fines, penalties, costs, and expenses,
including reasonable attorneys’ fees, arising from or related to:
- Buyer’s purchase, receipt, possession, storage, handling, transport, use, misuse, transfer, or disposal of MATERIAL
- Buyer’s violation of this Agreement or any incorporated policy
- Buyer’s violation of any law, regulation, or third-party right
- Any prohibited use of MATERIAL
- Any unauthorized resale, redistribution, repackaging, relabeling, or transfer of MATERIAL

Any injury, damage, contamination, exposure event, or loss caused in whole or in part by Buyer or any
third party receiving access to MATERIAL through Buyer
This obligation survives order completion, delivery, and termination of the relationship between Buyer and SimplyChems.
10. Compliance With Laws; Import / Export; Restricted Uses
Buyer is solely responsible for ensuring that the purchase, receipt, possession, handling, storage, transport,
use, transfer, disposal, import, export, and resale or non-resale status of MATERIAL complies with all
applicable laws and regulations, including where applicable:
- Federal, state, local, and international laws
- Import/export controls and sanctions requirements
- Hazardous materials, chemical safety, transport, and disposal laws
- Any lawful restrictions applicable to Buyer’s jurisdiction
SimplyChems makes no representation that any MATERIAL is approved, permitted, or lawful for any specific use,
person, entity, or jurisdiction.
11. No Resale / No Redistribution Without Written Approval
Unless expressly authorized in writing by SimplyChems, Buyer may not:
- Repackage
- Relabel
- Resell
- Redistribute
- Transfer MATERIAL to any third party
Any unauthorized transfer or distribution is a material breach of this Agreement and occurs entirely at Buyer’s
own risk and responsibility.
12. Pricing; Payment; Billing
All pricing, product listings, and availability are subject to change without notice.
Buyer agrees to provide current, complete, and accurate billing and account information. SimplyChems reserves
the right to reject or cancel orders involving suspected fraud, unauthorized payment activity, billing
inconsistencies, or risk verification concerns.
Payments are processed by third-party providers. SimplyChems does not store full payment card numbers.
13. Payment Disputes; Chargebacks; Records
SimplyChems maintains transaction and fulfillment records, which may include:
- Timestamped clickwrap acceptance of Terms and Policies
- IP address and timestamps
- Policy version accepted
- Order and billing details
- Fraud/risk verification indicators
- Shipment tracking and delivery confirmation
- Related customer communications
Buyer agrees to contact SimplyChems first regarding any shipping, billing, or order issue and provide a
reasonable opportunity to resolve the issue before initiating a payment dispute, chargeback, or claim with a
card issuer or processor.
Buyer acknowledges that SimplyChems may submit relevant records, order history, fulfillment records, tracking
data, and communications to payment processors, carriers, banks, fraud providers, marketplaces, law enforcement,
or other relevant parties in connection with dispute response, fraud prevention, enforcement, or legal compliance.
14. Shipping, Delivery, Returns, and Refunds
All shipping, delivery, fulfillment, replacement, return, refund, store credit, cancellation, and risk-of-loss
matters are governed by the Shipping, Delivery & Returns/Refund Policy, which is incorporated by reference
and forms part of this Agreement.
15. Accounts; Security; Website Use
If Buyer creates an account, Buyer is responsible for maintaining the confidentiality of account credentials
and for all activity occurring under the account.
Buyer agrees not to:
- Use the Website for any unlawful purpose
- Misrepresent identity, qualifications, or eligibility
- Attempt to interfere with Website functionality or security
- Use bots, scrapers, or automated means to access restricted portions of the Website without authorization
- Upload or transmit malicious code or harmful material
- Use the Website or MATERIAL in a manner inconsistent with these Terms
SimplyChems reserves the right to suspend, restrict, or terminate access to the Website or any account at any
time for any lawful reason.
16. Intellectual Property
All Website content, including text, graphics, logos, icons, product images, design elements, layout, branding,
and other materials, is owned by SimplyChems or its licensors and is protected by applicable intellectual
property laws.
No content may be copied, reproduced, modified, distributed, republished, displayed, transmitted, or otherwise
used without prior written permission, except as expressly permitted by law.
17. Privacy
Buyer’s submission of personal information through the Website is governed by the Privacy Policy, which is
incorporated by reference. If you are a Texas resident or otherwise have privacy rights under applicable law,
your rights and request procedures are described in that policy.
18. Electronic Contracting; Clickwrap Acceptance
Buyer agrees that this Agreement and all incorporated policies may be presented, accepted, and stored electronically.
By checking the required acceptance box at checkout, Buyer:
- Consents to electronic contracting
- Acknowledges that acceptance is legally binding and equivalent to a handwritten signature
- Confirms that Buyer had the opportunity to review the Terms and incorporated policies before purchase
SimplyChems may retain records of assent and related transaction data, including time, date, IP address, order
details, and policy version, for compliance, enforcement, chargeback defense, fraud prevention, and dispute response.
Clear and conspicuous online disclosure and affirmative assent remain core compliance principles for digital contracting.
19. Governing Law; Venue
This Agreement and any dispute arising out of or relating to the Website, any order, any MATERIAL, or any
incorporated policy shall be governed by the laws of the State of Texas, without regard to conflict-of-law principles.
To the extent court proceedings are permitted, exclusive venue shall be in the state or federal courts located
in Reeves County, Texas, unless applicable law requires otherwise.
20. Relationship to Other Policies
The following documents are incorporated by reference into this Agreement and form part of the contract between
Buyer and SimplyChems:
- Privacy Policy
- Shipping, Delivery & Returns/Refund Policy
- Research Use Acknowledgment & Informed Consent Agreement
If there is a conflict between this Agreement and another incorporated policy regarding the general legal terms
governing the transaction, this Terms and Conditions document controls unless applicable law requires otherwise.
If there is a conflict regarding shipping, delivery, refund, replacement, or store credit procedures, the
Shipping, Delivery & Returns/Refund Policy controls as to those matters.
21. Severability
If any provision of this Agreement is found invalid, illegal, or unenforceable, the remaining provisions shall
remain in full force and effect to the fullest extent permitted by law.
22. Entire Agreement
This Agreement, together with all policies incorporated by reference, constitutes the entire agreement between
Buyer and SimplyChems regarding Website access, orders, and MATERIAL, and supersedes prior or contemporaneous
communications concerning the same subject matter, except where applicable law provides otherwise.
23. Updates to These Terms
SimplyChems may update these Terms and Conditions from time to time. The version presented and accepted at the
time of purchase will govern that transaction unless otherwise required by applicable law.
