Informed Consent / Research Use Acknowledgment Agreement

This Research Use Acknowledgment & Informed Consent Agreement (“Agreement”) governs the purchase, receipt, possession, handling, and use of any product sold by SimplyChems LLC (“SimplyChems,” “Company,” “we,” “us,” or “our”).

By checking the required acceptance box at checkout, placing an order, accepting delivery, receiving, possessing, handling, or using any product from SimplyChems, the purchaser and any person acting on the purchaser’s behalf (“Customer”) acknowledges, understands, and agrees to be legally bound by this Agreement, the Terms and Conditions, and all policies incorporated by reference.

Acceptance of this Agreement is required to complete checkout and applies to each transaction under the version presented at the time of purchase.

1. Research Use Only — No Human or Animal Use

All products sold by SimplyChems, including but not limited to peptides, proteins, powders, liquids, chemicals, laboratory materials, and related items (“MATERIAL”), are sold strictly for lawful laboratory, analytical, and scientific research use only by qualified persons in appropriate controlled settings.

SimplyChems does not provide medical advice, dosing instructions, administration guidance, or recommendations for any prohibited use. Customer assumes full responsibility for ensuring MATERIAL is used only for lawful research purposes consistent with this Agreement.

2. Customer Qualifications; Age Requirement; Legal Compliance

Customer represents, warrants, and certifies that:

• Customer is at least 21 years of age
• Customer is a qualified professional, researcher, institution, or person acting under the supervision of qualified personnel with appropriate laboratory knowledge and training
• Customer is legally permitted to purchase, receive, possess, handle, and use MATERIAL in Customer’s jurisdiction
• Customer will comply with all applicable federal, state, local, and international laws, regulations, rules, and restrictions relating to the purchase, possession, handling, use, storage, transport, disposal, import, export, and transfer of MATERIAL

SimplyChems reserves the right, in its sole discretion, to refuse service, cancel orders, request verification or documentation, restrict quantities, suspend accounts, or decline to ship to any person, location, or jurisdiction.

3. Hazards; Safe Handling; Storage; Disposal

Customer understands that laboratory materials may present known or unknown hazards and must be handled only by persons who understand the relevant risks and appropriate laboratory procedures.

Customer agrees that Customer is solely responsible for:

• Evaluating the hazards associated with MATERIAL
• Using proper personal protective equipment, containment, engineering controls, and laboratory safeguards
• Ensuring safe receipt, storage, handling, transport, use, and disposal
• Preventing exposure to persons, animals, property, and the environment
• Ensuring that anyone who accesses or handles MATERIAL is appropriately trained and informed

Customer assumes all responsibility and risk arising from possession, storage, handling, transport, use, misuse, transfer, or disposal of MATERIAL.

4. No Medical, Therapeutic, Diagnostic, or Performance Claims

Customer acknowledges that SimplyChems does not make and expressly disclaims any medical, therapeutic, diagnostic, clinical, veterinary, supplementation, cosmetic, or performance claims regarding any MATERIAL.

No content on the Website, no product description, no communication, and no statement by SimplyChems shall be interpreted as a representation that any MATERIAL is safe, effective, approved, or appropriate for use in or on humans, animals, or living organisms.

5. Product Evaluation; Verification; No Reliance

Customer acknowledges and agrees that:

• Research materials may vary by lot, appearance, solubility, stability, and analytical characteristics
• Customer is solely responsible for determining whether any MATERIAL is suitable for Customer’s intended lawful research purpose
• Customer is solely responsible for performing any testing, validation, review, or verification Customer deems necessary before use in research
• Customer will not rely on the Website, labels, product descriptions, communications, or other materials from SimplyChems as instructions or authorization for any prohibited use

6. No Warranties — AS IS

ALL MATERIAL IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE FULLEST EXTENT PERMITTED BY LAW, SIMPLYCHEMS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY, COMPLETENESS, OR RELIABILITY OF INFORMATION OR RESULTS
• IDENTITY, PURITY, POTENCY, STABILITY, SHELF LIFE, PERFORMANCE, OR SUITABILITY FOR ANY PARTICULAR APPLICATION

Customer assumes all risk regarding use, handling, storage, transfer, disposal, and research results.

7. Assumption of Risk

Customer knowingly and voluntarily assumes all risks, whether known or unknown, associated with the purchase, receipt, possession, storage, handling, transport, use, misuse, transfer, and disposal of MATERIAL.

Customer understands that improper use or handling of laboratory materials may result in property damage, contamination, bodily injury, illness, regulatory consequences, or other losses, and Customer accepts full responsibility for all such risks.

8. Indemnification

Customer agrees to indemnify, defend, and hold harmless SimplyChems LLC and its owners, officers, managers, employees, contractors, agents, suppliers, successors, and affiliates from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

• Customer’s purchase, receipt, possession, storage, handling, transport, use, misuse, transfer, or disposal of MATERIAL
• Any prohibited use of MATERIAL
• Any violation of this Agreement, the Terms and Conditions, or any other Company policy
• Any violation of law, regulation, or third-party rights
• Any injury, damage, contamination, loss, or exposure event caused in whole or in part by Customer or any third party receiving access to MATERIAL through Customer
• Any unauthorized resale, redistribution, repackaging, relabeling, or transfer of MATERIAL

This indemnification obligation survives the transaction, delivery, use of MATERIAL, and termination of any relationship between Customer and SimplyChems.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

• SIMPLYCHEMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF RESEARCH, LOSS OF BUSINESS, OR RESEARCH FAILURE
• SIMPLYCHEMS’ TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO ANY MATERIAL OR TRANSACTION SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY CUSTOMER FOR THE SPECIFIC MATERIAL GIVING RISE TO THE CLAIM

Customer’s sole remedy is to stop purchasing from SimplyChems, except where a remedy is otherwise required by applicable law.

10. No Resale / No Redistribution

Unless expressly authorized in writing by SimplyChems, Customer may not:

• Repackage
• Relabel
• Resell
• Redistribute
• Transfer MATERIAL to any third party

Any unauthorized transfer or distribution is a material breach of this Agreement and is done entirely at Customer’s risk and responsibility.

11. All Sales Final; Related Policy Controls

Due to the nature of laboratory research materials and chain-of-custody concerns:

Any issue involving shipping, delivery, damaged items, incorrect items, missing items, replacement requests, or store credit is governed by the Shipping, Delivery & Returns/Refund Policy, which is incorporated by reference and controls those matters.

12. Records; Electronic Acceptance

Customer agrees that this Agreement may be accepted electronically.

By checking the required acceptance box at checkout, Customer acknowledges that such acceptance is legally binding and equivalent to a handwritten signature.

SimplyChems may retain records relating to acceptance and transactions, including but not limited to:

• Time and date of acceptance
• IP address
• Order details
• Policy version accepted
• Billing or risk verification indicators
• Shipment and delivery records

These records may be used for compliance, fraud prevention, dispute response, chargeback defense, and enforcement purposes.

13. Governing Law; Venue

This Agreement is governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Any dispute arising out of or relating to this Agreement, any purchase, or any MATERIAL shall be governed consistently with the Terms and Conditions. To the extent court proceedings are permitted, exclusive venue shall be in the state or federal courts located in Reeves County, Texas, unless applicable law requires otherwise.

14. Relationship to Other Policies

This Agreement is incorporated into and should be read together with the following, all of which are incorporated by reference:

• Terms and Conditions
• Shipping, Delivery & Returns/Refund Policy
• Privacy Policy

If there is a conflict between this Agreement and the Terms and Conditions regarding general legal terms governing the transaction, the Terms and Conditions control unless applicable law requires otherwise.

15. Severability; Updates

If any provision of this Agreement is held invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.

SimplyChems may update this Agreement from time to time. The version presented and accepted at the time of purchase will govern that transaction unless otherwise required by law.

16. Customer Certification

By completing checkout, Customer certifies that Customer:

• Has read, understood, and agreed to this Agreement
• Is at least 21 years of age
• Is legally permitted to purchase and possess MATERIAL for lawful research purposes
• Understands that all MATERIAL is sold strictly for lawful laboratory research use only
• Will not use MATERIAL for any human or animal use or any other prohibited purpose
• Accepts full responsibility for lawful possession, safe handling, storage, transport, use, and disposal
